These Terms of Use ("Terms") govern your access to and use of the Aria AI assistant platform and related
services (the "Service") provided by ExtraDay, LLC ("ExtraDay," "we," "our," or "us"). By accessing or using
the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Service Description
Aria is an AI-powered assistant designed for licensed real estate professionals. The Service provides
CRM management, property search, branded email sending, newsletter compilation, comparative market
analyses, smart reminders, prospect research, business card scanning, voice message processing, and other
productivity tools — all accessible through WhatsApp and a web-based dashboard.
2. Eligibility
- You must be at least 18 years old to use the Service.
- You must be a licensed real estate professional or employed by a licensed brokerage to subscribe.
- By signing up, you represent that the information you provide is accurate and complete.
3. Account Registration & Access
- You must apply for access by submitting the application form on our website.
- Acceptance is at our sole discretion, particularly during the beta period.
- You are responsible for maintaining the confidentiality of your WhatsApp number and account credentials.
- You are responsible for all activity that occurs through your account.
- You must notify us immediately of any unauthorized use of your account.
4. Subscription & Payment
4.1 Pricing
The Service is offered at $195 per month ("Subscription Fee"). Pricing is subject to change upon 30 days'
written notice. Current subscribers will be grandfathered at their existing rate for 12 months following any
price increase.
4.2 Billing
- Subscription fees are billed monthly in advance through Stripe.
- Charges will appear on your credit card statement as "Aria - AI Assistant" from
ExtraDay, LLC.
- All fees are in U.S. dollars and are non-refundable except as described below.
- You authorize us to charge your payment method on a recurring basis.
4.3 Cancellation
- You may cancel your subscription at any time.
- Cancellation takes effect at the end of the current billing period.
- Upon cancellation, your data remains available for export for 30 days.
- No partial refunds are provided for unused portions of a billing period.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree
not to:
- Use the Service for any purpose other than legitimate real estate business activities
- Send unsolicited or spam messages through the Service
- Upload, store, or transmit malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to the Service, other accounts, or related systems
- Use the Service to harass, abuse, or harm any individual
- Violate any applicable law, regulation, or third-party rights (including CAN-SPAM, TCPA, and
applicable real estate regulations)
- Resell, redistribute, or sublicense access to the Service
- Circumvent rate limits, security measures, or usage controls
- Use the Service to store or process information of minors under 18
6. Your Data & Content
6.1 Ownership
You retain ownership of all data, content, and materials you provide to the Service ("Your Content"). By
using the Service, you grant ExtraDay a limited, non-exclusive license to use, process, and store Your
Content solely to provide the Service to you.
6.2 Data Export
You may request an export of Your Content at any time by contacting us. We will provide your data in a
standard, machine-readable format within 10 business days.
6.3 Responsibility
You are solely responsible for the accuracy and legality of Your Content, including all client information,
property data, and communications sent through the Service. You must have proper consent from individuals
before storing their information in the CRM or sending them communications through Aria.
7. Email & Communications Compliance
- You are responsible for ensuring that all emails and newsletters sent through the Service comply with
the CAN-SPAM Act, TCPA, and applicable state regulations.
- All marketing emails sent through Aria include an unsubscribe mechanism.
- You must maintain accurate sender information and not use misleading subject lines.
- You must only send communications to individuals who have provided consent or with whom you have an
existing business relationship.
8. AI Capabilities & Limitations
8.1 Nature of AI
Aria is an AI assistant, not a licensed real estate agent, broker, attorney, appraiser, or financial advisor.
Aria's outputs (including property valuations, market analyses, and research reports) are generated by
artificial intelligence and should be verified by a qualified professional before being relied upon.
8.2 No Guarantees
We do not guarantee the accuracy, completeness, or reliability of AI-generated content. Property valuations
are estimates based on publicly available data and should not be considered appraisals. Market analyses are
for informational purposes only.
8.3 Supervision
You acknowledge that AI-generated content may contain errors. You are responsible for reviewing all
communications before they are sent to clients and for the accuracy of information shared with third
parties.
9. Intellectual Property
9.1 Our IP
The Service, including its design, features, code, algorithms, documentation, and branding (including the
"Aria" name and logo), is the intellectual property of ExtraDay, LLC and is protected by applicable
intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service
without our prior written consent.
9.2 Feedback
If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable,
royalty-free license to use and incorporate such feedback into the Service.
10. Third-Party Services & Links
The Service integrates with third-party platforms (WhatsApp, Stripe, Google, Meta, Zillow, etc.). Your use of
these platforms is governed by their respective terms and privacy policies. We are not responsible for the
actions, content, or practices of any third-party services.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR
IMPLIED. To the fullest extent permitted by law, ExtraDay disclaims all warranties, including
but
not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Service will be uninterrupted, error-free, or secure
- Warranties regarding the accuracy or reliability of AI-generated content
- Warranties regarding the availability or performance of third-party integrations
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXTRADAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL,
SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of profits,
revenue,
data, business opportunities, or goodwill, arising out of or relating to your use of the Service, even if we
have been advised of the possibility of such damages.
Our total cumulative liability for all claims arising out of or relating to these Terms or the Service shall
not exceed the total amount you paid to us in the 12 months preceding the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless ExtraDay, LLC, its officers, directors, employees, and
agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable
attorneys' fees) arising out of or relating to:
- Your use of the Service
- Your Content or communications sent through the Service
- Your violation of these Terms or any applicable law
- Any third-party claim related to your real estate activities conducted through the Service
14. Termination
- By You: You may terminate your account at any time by canceling your subscription.
- By Us: We may suspend or terminate your access at any time for violation of these
Terms,
non-payment, or for any reason with 30 days' notice.
- Effect: Upon termination, your right to use the Service ceases immediately. Sections
6.1, 9, 11, 12, 13, and 16 survive termination.
15. Modifications
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or
prominently posted on our website at least 15 days before they take effect. Your continued use of the
Service
after changes become effective constitutes acceptance of the revised Terms.
16. Governing Law & Dispute Resolution
- Governing Law: These Terms are governed by the laws of the State of Florida, without
regard to conflict of law principles.
- Dispute Resolution: Any disputes arising out of these Terms will be resolved through
binding arbitration administered by the American Arbitration Association (AAA) in Miami-Dade County,
Florida, under its Commercial Arbitration Rules.
- Class Action Waiver: You agree to resolve disputes individually and waive the right to
participate in class actions, class arbitrations, or representative actions.
- Small Claims: Either party may bring claims in small claims court in Miami-Dade County,
Florida, if the claim qualifies.
17. Miscellaneous
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire
agreement between you and ExtraDay regarding the Service.
- Severability: If any provision of these Terms is found unenforceable, the remaining
provisions remain in full force.
- Waiver: Our failure to enforce any right or provision does not constitute a waiver of
that right or provision.
- Assignment: You may not assign your rights under these Terms. ExtraDay may assign its
rights without restriction.
- Force Majeure: ExtraDay is not liable for delays or failures caused by events beyond
our reasonable control, including natural disasters, pandemics, or infrastructure failures.
