1. Agreement to Terms

These Terms of Use ("Terms") govern your access to and use of the Aria platform, including the website at hirearia.ai, the WhatsApp-based AI assistant ("Aria"), the agent dashboard, and all related services (collectively, the "Service"), operated by ExtraDay, LLC ("Company," "we," "us," or "our"), a Florida limited liability company.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Aria is an AI-powered assistant designed for licensed real estate professionals. The Service provides:

• Contact Management (CRM): Creating, updating, searching, and managing client contacts via WhatsApp.
• Property Search: Searching MLS listings through integrated IDX providers and delivering results via WhatsApp or email.
• Branded Email Communication: Sending property listings, market reports, and newsletters to clients on the agent's behalf.
• Automated Alerts: Monitoring new listings matching saved client criteria and notifying the agent.
• Voice Message Transcription: Transcribing WhatsApp voice messages to text for processing.
• Comparative Market Analysis (CMA): Generating property valuation estimates using third-party data sources.
• Multi-language Support: Operating in English, Spanish, and Portuguese.

3. Eligibility

The Service is intended for use by licensed real estate professionals and their authorized representatives. By using the Service, you represent that you:

• Are at least 18 years of age.
• Hold a valid real estate license or are authorized to act on behalf of a licensed agent or brokerage.
• Have the authority to bind yourself (and, if applicable, your brokerage) to these Terms.

4. Account Registration & Onboarding

To use Aria, you must complete an onboarding process via WhatsApp, during which you will provide:

• Your name, email address, and phone number.
• Your brokerage name, license number, and brokerage logo.
• A professional headshot for branding purposes.
• Your IDX website URL (if applicable).

You are responsible for the accuracy of the information you provide and for maintaining the security of your WhatsApp account. You agree to notify us immediately of any unauthorized use.

5. Subscription & Payment

Aria is offered as a subscription service. Current pricing is displayed on our website at hirearia.ai/aria. By subscribing, you agree to pay the applicable fees.

• Billing: Subscriptions are billed monthly. Payment is processed through our third-party payment provider (Stripe).
• Free Trials: If a free trial is offered, you will be charged at the end of the trial period unless you cancel.
• Cancellation: You may cancel your subscription at any time by contacting us at hello@hirearia.ai. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.
• Price Changes: We reserve the right to change pricing with 30 days' notice.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable federal, state, and local laws, including real estate regulations, anti-spam laws (CAN-SPAM, TCPA), and fair housing laws. You agree not to:

• Use Aria to send unsolicited bulk messages or spam.
• Provide false, misleading, or fraudulent information to clients through the Service.
• Use the Service for any purpose unrelated to real estate brokerage activities.
• Attempt to reverse-engineer, decompile, or interfere with the Service's infrastructure.
• Share your account access with unauthorized third parties.
• Violate any applicable MLS rules, IDX terms, or fair housing regulations.

7. Client Communications

When you use Aria to send emails or messages to your clients:

• You represent that you have a pre-existing business relationship with the recipient or have otherwise obtained the recipient's consent to receive communications.
• All outbound emails include an unsubscribe link. You agree not to circumvent or remove unsubscribe mechanisms.
• You are solely responsible for the content of any personal notes or custom messages you instruct Aria to include.

8. Intellectual Property

The Service, including its software, design, branding, AI models, and documentation, is owned by ExtraDay, LLC and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription.

Your Content: You retain ownership of all content you provide (contacts, client data, photos, logos). By using the Service, you grant us a limited license to process, store, and transmit your content solely to provide the Service.

9. AI-Generated Content Disclaimer

Aria uses artificial intelligence to generate responses, property descriptions, and market analysis. While we strive for accuracy:

• AI outputs are not guaranteed to be accurate, complete, or error-free. You should review all AI-generated content before relying on it or sharing it with clients.
• Property valuations (CMAs) are estimates based on third-party data and should not be used as formal appraisals.
• Listing data is sourced from third-party IDX/MLS providers and may not reflect real-time changes.
• You are ultimately responsible for all information communicated to your clients.

10. Third-Party Services

The Service integrates with third-party platforms and data providers, including but not limited to:

• WhatsApp / Meta: For messaging. Your use of WhatsApp is subject to WhatsApp's Terms of Service.
• MLS / IDX Providers: For listing search data.
• AI Providers (OpenAI): For natural language processing.
• Stripe: For payment processing.
• Resend: For email delivery.

We are not responsible for the availability, accuracy, or terms of third-party services.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXTRADAY, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DEALS, DATA LOSS, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. Indemnification

You agree to indemnify and hold harmless ExtraDay, LLC, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Any content you provide or communications you send through the Service.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Service immediately ceases.
• We may delete your account data after 30 days, or sooner upon your written request.
• You may request an export of your contact data prior to termination by contacting hello@hirearia.ai.

15. Governing Law & Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Broward County, Florida.

16. Changes to These Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
